Certified Marketing Consultants helps promotional products business owners understand their company’s value, find qualified buyers, and manage the sale process from initial preparation through closing. Our private company sales services provide experienced representation while allowing you to continue running your business.

Whether you are preparing for retirement, considering an ownership transition, or responding to interest from a potential buyer, CMC helps you evaluate your options. We work with you to establish realistic expectations, identify suitable purchasers, and pursue a transaction that supports your financial and personal goals.

Private Company Sales for Distributors and Suppliers

CMC works with promotional products suppliers and distributors, including ASI distributorships and businesses in the advertising specialty and branded merchandise markets. Our industry focus helps us understand how your products, operations, and market position may fit a prospective buyer’s plans.

Your reasons for selling help shape the process. You may want to leave the business entirely, reduce your responsibilities, or explore an arrangement that allows you to remain involved after ownership changes. We help you clarify these priorities before approaching potential purchasers so they can guide discussions about buyer suitability and purchase terms.

Our completed transactions involving promotional products companies reflect experience representing sellers across the industry. We bring that perspective to the decisions involved in preparing, marketing, and selling your company.

Business Valuation and Sale Preparation

An appropriate asking price begins with a fact-based assessment of your company’s value. CMC reviews the financial and business information you provide to develop a valuation and help establish a realistic price for presenting your company to prospective purchasers.

The first step is completing CMC’s Confidential Questionnaire and providing financial statements for your three most recent fiscal years. These should include your year-end balance sheets and profit and loss statements. This information helps us understand your financial history, assess the business, and begin identifying potential buyers.

Our promotional products business valuation services provide a foundation for setting expectations and evaluating offers. Understanding how your business has been valued gives you a clearer basis for discussing price and purchase terms. It also helps you assess whether a proposed transaction reflects your objectives as the owner.

Confidential Buyer Searches

Confidentiality is important when employees, customers, suppliers, and competitors may not know you are considering a sale. CMC holds the information you provide in strict confidence and will not disclose it to third parties without your prior authorization.

Once the valuation is complete and a realistic asking price has been established, we begin the buyer search. We identify companies whose strategic goals, operations, geographic interests, or other characteristics may make them suitable purchasers. Our objective is to find buyers with a business reason to acquire your company and a potential fit with your priorities.

CMC proactively and confidentially contacts prospective purchasers to determine their interest. We coordinate this outreach and manage buyer communications on your behalf, giving you an advisor to handle inquiries while you remain focused on daily operations.

Buyer Qualification, Negotiation, and Closing

When an interested buyer emerges, CMC arranges discussions between you and the prospective purchaser to explore the opportunity in greater detail. These conversations allow both parties to understand their respective objectives and assess whether there is a practical basis for pursuing a transaction.

We also review and analyze the buyer’s ability to complete the purchase. This helps you evaluate whether an opportunity warrants further time and attention as discussions progress.

As a potential transaction develops, CMC helps establish the suggested financial terms and purchase structure. We work with you to consider how the proposed arrangement relates to your goals and provide guidance as terms are discussed. Our role as your sell side M&A advisor is to represent your interests and help you understand the proposal before making decisions.

We then assist with negotiations and help move the transaction toward closing. Having an advisor coordinate these discussions provides continuity throughout the process, from the initial buyer search through the final stages of the sale.

Private Company Sales Fees and Getting Started

CMC requires an initial deposit to begin the valuation process. A separate retainer covers our time and basic search expenses during the initial identification of prospective buyers.

A transaction fee is earned when the sale is completed. The retainer, net of expenses, is credited against the transaction fee at closing. We can discuss the scope of our services and fee structure as you consider engaging CMC to represent you.

If you are considering selling a promotional products distributorship or supplier business, we can discuss your reasons for selling, preferred timing, and the information needed to get started.
